{"id":1521,"date":"2025-09-09T14:34:37","date_gmt":"2025-09-09T12:34:37","guid":{"rendered":"https:\/\/dev.francesc.tech\/boomerangintelligence\/?page_id=1521"},"modified":"2025-11-06T17:16:07","modified_gmt":"2025-11-06T16:16:07","slug":"general-conditions-of-recruiters","status":"publish","type":"page","link":"https:\/\/www.boomerang-intelligence.com\/en\/general-conditions-of-recruiters\/","title":{"rendered":"General Conditions of Recruiters"},"content":{"rendered":"\t\t<div data-elementor-type=\"wp-page\" data-elementor-id=\"1521\" class=\"elementor elementor-1521 elementor-599\" data-elementor-post-type=\"page\">\n\t\t\t\t<div class=\"elementor-element elementor-element-4597e66 e-flex e-con-boxed e-con e-parent\" data-id=\"4597e66\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;background_background&quot;:&quot;classic&quot;}\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-a42b664 elementor-widget elementor-widget-heading\" data-id=\"a42b664\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h1 class=\"elementor-heading-title elementor-size-default\">General Conditions of Recruiters<\/h1>\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-dc635dc e-flex e-con-boxed e-con e-parent\" data-id=\"dc635dc\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-5950e52 cms elementor-widget elementor-widget-text-editor\" data-id=\"5950e52\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p data-start=\"177\" data-end=\"606\"><strong data-start=\"177\" data-end=\"222\">These general conditions of collaboration<\/strong> (the \u201c<strong data-start=\"229\" data-end=\"251\">General Conditions<\/strong>\u201d) apply to entities (the \u201c<strong data-start=\"278\" data-end=\"292\">Recruiters<\/strong>\u201d) that wish to collaborate with <strong data-start=\"325\" data-end=\"351\">BOOMERANG TALENT, S.L.<\/strong>, with registered office at <strong data-start=\"379\" data-end=\"423\">C\/ Aribau 205, Planta 5, 08006 Barcelona<\/strong> and <strong data-start=\"428\" data-end=\"438\">Tax ID<\/strong> number <strong data-start=\"446\" data-end=\"459\">B75922393<\/strong> (\u201c<strong data-start=\"462\" data-end=\"488\">Boomerang Intelligence<\/strong>\u201d), for the provision of the services chosen by Boomerang Intelligence through the <strong data-start=\"571\" data-end=\"582\">Website<\/strong> (the \u201c<strong data-start=\"589\" data-end=\"603\">Service(s)<\/strong>\u201d).<\/p><p data-start=\"608\" data-end=\"1389\">The General Conditions set out the terms and conditions governing the relationship between Boomerang Intelligence and the Recruiters. The relationship between <strong data-start=\"767\" data-end=\"780\">Employers<\/strong> and <strong data-start=\"785\" data-end=\"799\">Recruiters<\/strong> for the provision of the Services is regulated by the <strong data-start=\"854\" data-end=\"887\">specific terms and conditions<\/strong> applicable to each Service (the \u201c<strong data-start=\"921\" data-end=\"944\">Specific Conditions<\/strong>\u201d). Together, the General Conditions and the Specific Conditions are referred to as the <strong data-start=\"1032\" data-end=\"1066\">\u201cConditions of Collaboration.\u201d<\/strong> Registration by the Recruiter\u2014and acceptance of each new process\u2014on the Website implies full acceptance of the Conditions of Collaboration. If the Recruiter does not accept them, the collaboration on the Services will not take place and, consequently, no obligation or liability shall be assumed by Boomerang Intelligence.<\/p><p data-start=\"1391\" data-end=\"1732\">Boomerang Intelligence reserves the right to modify the content and\/or scope of the <strong data-start=\"1475\" data-end=\"1506\">Conditions of Collaboration<\/strong> at any time; therefore, before accepting any Services, the Recruiter must carefully read their content, as it is the Recruiter\u2019s responsibility to review the <strong data-start=\"1665\" data-end=\"1676\">current<\/strong> Conditions of Collaboration in force at any given time.<\/p><h3 class=\"\">Table of Contents<\/h3><h4 class=\"\">Boomerang Intelligence \u2013 Recruiters<\/h4><ol><li><a href=\"#alta-empleador\">Recruiter Registration<\/a><\/li><li><a href=\"#tarifas-facturacion\">Rates and Billing<\/a><\/li><li><a href=\"#responsabilidad\">Liability<\/a><\/li><li><a href=\"#gdpr-information\">Confidentiality<\/a><\/li><li><a href=\"#gdpr-processing\">Protection of Personal Data<\/a><\/li><li><a href=\"#baja-empleador\">Recruiter\u2019s resignation<\/a><\/li><li><a href=\"#generalidades\">Generalities<\/a><\/li><li><a href=\"#ley-jurisdiccion\">Applicable law and competent jurisdiction<\/a><\/li><\/ol><h4 class=\"\">Employers<\/h4><ol><li><a href=\"#seleccion-candidatos\">Candidate Selection<\/a><\/li><li><a href=\"#honorarios\">Recruiter Services<\/a><\/li><li><a href=\"#garantias\">Fees<\/a><\/li><li><a href=\"#propiedad\">Expenses<\/a><\/li><li><a href=\"#limites\">Guarantees<\/a><\/li><li><a href=\"#extincion\">Property<\/a><\/li><li><a href=\"#recruiters-confidencialidad\">Limits<\/a><\/li><li><a href=\"#gdpr-cookies\">Extinction<\/a><\/li><li><a href=\"#recruiters-generalidades\">Confidentiality<\/a><\/li><li><a href=\"#recruiters-ley-jurisdiccion\">Protection of Personal Data<\/a><\/li><li><a href=\"#recruiters-11\">Generalities<\/a><\/li><li><a href=\"#recruiters-12\">Applicable Law and Competent Jurisdiction<\/a><\/li><\/ol><h2>Boomerang Intelligence \u2013 Employers<\/h2><h3 id=\"alta-empleador\" class=\"\">1 . Recruiter Registration<\/h3><p data-start=\"2291\" data-end=\"2513\">The Recruiter must register on the Website following the procedure provided therein. For subsequent access, the Recruiter will only need to provide the email address and password in the <strong data-start=\"2477\" data-end=\"2489\">\u201cLog In\u201d<\/strong> section of the Website.<\/p><p data-start=\"2515\" data-end=\"2663\">Once registered, the Recruiter will receive a notification from Boomerang Intelligence confirming that the registration process has been successful.<\/p><p data-start=\"2665\" data-end=\"3203\">By registering on the Website, the Recruiter agrees that Boomerang Intelligence may use the Recruiter\u2019s distinctive signs on the Website and declares that it has full capacity to operate. To this end, Boomerang Intelligence <strong data-start=\"2889\" data-end=\"2911\">reserves the right<\/strong> to request supporting documentation from the Recruiter at any time. If the Recruiter does not comply with Boomerang Intelligence\u2019s request, or does not comply correctly, Boomerang Intelligence may prohibit use of and\/or access to the Website and <strong data-start=\"3158\" data-end=\"3179\">suspend or revoke<\/strong> the Recruiter\u2019s status.<\/p><p data-start=\"3205\" data-end=\"3456\">If the Recruiter does not provide all required information and\/or does not complete the registration procedure provided on the Website, they will not be registered as such and, therefore, may not benefit from collaboration with Boomerang Intelligence.<\/p><p data-start=\"3458\" data-end=\"3657\">After registering with Boomerang Intelligence, the Recruiter must follow the procedure set out on the Website, in accordance with the <strong data-start=\"3592\" data-end=\"3615\">Specific Conditions<\/strong> applicable to each type of collaboration.<\/p><h3 id=\"tarifas-facturacion\" class=\"\">2. Rates and Billing<\/h3><p data-start=\"3689\" data-end=\"3968\">Boomerang Intelligence shall invoice the <strong data-start=\"3730\" data-end=\"3742\">Employer<\/strong> the amount due in accordance with the <strong data-start=\"3781\" data-end=\"3789\">Rate<\/strong> corresponding to the Service accepted through the Website. Based on this Rate, the economic model for the <strong data-start=\"3896\" data-end=\"3919\">Specific Conditions<\/strong> applicable to each new process will be drawn up.<\/p><p data-start=\"3970\" data-end=\"4181\">Boomerang Intelligence shall pay the <strong data-start=\"4007\" data-end=\"4030\">Recruiter\u2019s invoice<\/strong> by bank transfer or any other means of payment provided on the Website, within a maximum of <strong data-start=\"4123\" data-end=\"4152\">thirty (30) calendar days<\/strong> from receipt of the invoice.<\/p><p data-start=\"4183\" data-end=\"4305\">The Rate and the Conditions of Collaboration do not include <strong data-start=\"4243\" data-end=\"4250\">VAT<\/strong> at the current legal rate or any other applicable tax.<\/p><p data-start=\"4307\" data-end=\"4511\">In the event of non-payment of an invoice, Boomerang Intelligence may claim default interest from the <strong data-start=\"4409\" data-end=\"4421\">Employer<\/strong> at the statutory interest rate in force at the time the corresponding amount becomes due.<\/p><h3 id=\"responsabilidad\" class=\"\">3. Liability<\/h3><p data-start=\"4535\" data-end=\"5063\">Boomerang Intelligence <strong data-start=\"4558\" data-end=\"4585\">acts as an intermediary<\/strong> and is therefore exempt from any liability and\/or claim arising, directly or indirectly, <strong data-start=\"4675\" data-end=\"4715\">from the performance of the Services<\/strong>, except in relation to incidents in the management of payments for the Services that are directly attributable to Boomerang Intelligence. Therefore, the Recruiter undertakes to hold Boomerang Intelligence harmless from any sanction, fine, compensation, and\/or damages that may be imposed on Boomerang Intelligence as a result of the collaboration.<\/p><p data-start=\"5065\" data-end=\"5456\">Boomerang Intelligence shall not be liable for any damages or losses that may be caused to Recruiters, directly or indirectly, by their access to or use of the Website, including, without limitation, those affecting computer systems, those caused by the introduction of viruses and\/or cyberattacks, or any breakdowns, interruptions, absence, or defects in communications and\/or the Internet.<\/p><p data-start=\"5458\" data-end=\"5852\">The Recruiter undertakes to fully comply with the obligations set out in these General Conditions, the Specific Conditions, and any other terms and conditions provided by Boomerang Intelligence and\/or applicable legislation at all times; consequently, the Recruiter shall be liable for any damages of any kind that Boomerang Intelligence may suffer as a result of a breach of these obligations.<\/p><p data-start=\"5854\" data-end=\"6296\">The Recruiter is also obliged to collaborate <strong data-start=\"5899\" data-end=\"5922\">through the Website<\/strong> with respect to the Services offered to the Employer and, therefore, may not be contracted <strong data-start=\"6014\" data-end=\"6037\">outside the Website<\/strong> or without following the procedure and fees set out on the Website. In the event of non-compliance with this obligation, the Recruiter shall pay Boomerang Intelligence the <strong data-start=\"6210\" data-end=\"6241\">Fee that would have applied<\/strong> had the collaboration taken place through the Website.<\/p><h3 id=\"confidencialidad\" class=\"\">4. Confidentiality<\/h3><p data-start=\"6326\" data-end=\"6612\">The Recruiter undertakes to keep <strong data-start=\"6359\" data-end=\"6387\">Confidential Information<\/strong> secret. For these purposes, \u201cConfidential Information\u201d means any technical, commercial, financial, or business information of Boomerang Intelligence to which the Recruiter has had access in connection with the collaboration.<\/p><p data-start=\"6614\" data-end=\"6983\">Accordingly, the Recruiter shall maintain the secrecy and confidentiality of all Confidential Information and shall not, at any time, sell, transfer, and\/or disclose such Confidential Information, in whole or in part, to any third party, nor use it for any purpose other than that for which it was disclosed, without the prior written consent of Boomerang Intelligence.<\/p><p data-start=\"6985\" data-end=\"7229\">The obligation of confidentiality shall be of <strong data-start=\"7031\" data-end=\"7054\">indefinite duration<\/strong>, remaining in force after the termination of the collaboration, and shall be binding on the relevant employees and collaborators of the Recruiter, both external and internal.<\/p><p data-start=\"7231\" data-end=\"7549\">The obligation of confidentiality contained in this clause does not apply to (i) information that, at the time of disclosure, is already in the public domain; and (ii) information that, after disclosure by Boomerang Intelligence, becomes public through publications or other means, <strong data-start=\"7513\" data-end=\"7531\">without breach<\/strong> by the Recruiter.<\/p><h3 id=\"proteccion-datos-personales\" class=\"\">5. Protection of Personal Data<\/h3><p data-start=\"7591\" data-end=\"8232\">In accordance with <strong data-start=\"7610\" data-end=\"7667\">EU General Data Protection Regulation 679\/2016 (GDPR)<\/strong> and <strong data-start=\"7672\" data-end=\"7764\">Organic Law 3\/2018 on Personal Data Protection and Guarantee of Digital Rights (LOPDGDD)<\/strong>, Boomerang Intelligence informs Recruiters that the personal data provided through the Website will be included in a file owned by Boomerang Intelligence for the purpose of managing intermediation in the Services and, in particular, managing collections and payments arising therefrom. Recruiters may exercise their rights under current legislation at Boomerang Intelligence\u2019s registered office or by email to the contact address indicated on the Website (Ref. GDPR).<\/p><p data-start=\"8234\" data-end=\"8731\">The Recruiter shall provide Boomerang Intelligence with <strong data-start=\"8290\" data-end=\"8301\">current<\/strong> personal data, as well as any modifications thereto, so that the information contained in Boomerang Intelligence\u2019s files is, at all times, up-to-date and error-free. The Recruiter will be responsible for the accuracy of the data provided, and Boomerang Intelligence reserves the right to exclude from the Website any Recruiter who has provided false or fraudulent data, without prejudice to any other legally appropriate actions.<\/p><p data-start=\"8733\" data-end=\"8895\">If, as a result of intermediation carried out by Boomerang Intelligence, Boomerang Intelligence accesses the Recruiter\u2019s personal data, the following shall apply:<\/p><ul data-start=\"8897\" data-end=\"9976\"><li data-start=\"8897\" data-end=\"9061\"><p data-start=\"8899\" data-end=\"9061\">Boomerang Intelligence will treat as confidential any personal data provided by the Recruiter or to which it has direct access as a result of the collaboration.<\/p><\/li><li data-start=\"9062\" data-end=\"9639\"><p data-start=\"9064\" data-end=\"9639\">Boomerang Intelligence will process personal data held by Recruiters in accordance with their instructions, will not apply or use them for purposes other than those set out in these General Conditions, and will not communicate them, even for storage, to other persons. If Boomerang Intelligence subcontracts part of the intermediation services to a third party and this entails processing the Recruiters\u2019 personal data by that third party, Boomerang Intelligence shall act in the name and on behalf of the Recruiters, for which it is expressly authorized under this clause.<\/p><\/li><li data-start=\"9640\" data-end=\"9976\"><p data-start=\"9642\" data-end=\"9976\">When the Recruiter is deregistered in accordance with the <strong data-start=\"9700\" data-end=\"9728\">Recruiter Deregistration<\/strong> section, personal data must be returned to the Recruiter, as well as any medium or document containing personal data subject to processing. The return shall be carried out, where appropriate, in the format and on the media used to store such data.<\/p><\/li><\/ul><p data-start=\"9978\" data-end=\"10358\">Boomerang Intelligence declares that it has implemented the necessary technical and organizational measures to guarantee the security of personal data\u2014preventing alteration, loss, processing, and\/or unauthorized access\u2014taking into account the nature of the data it processes and the risks to which such data may be exposed, all in accordance with GDPR 679\/2016 and LOPDGDD 3\/2018.<\/p><h3 id=\"baja-empleador\" class=\"\">6. Recruiter deregistration<\/h3><p data-start=\"10397\" data-end=\"10536\">To unsubscribe as a Recruiter, the Recruiter must inform Boomerang Intelligence by email using the contact details provided on the Website.<\/p><p data-start=\"10538\" data-end=\"10929\">If the Recruiter fails to comply with any of the obligations set out in these Conditions of Collaboration and\/or any other terms and conditions set out on the Website, Boomerang Intelligence reserves the right to immediately cancel the application and\/or execution of the collaboration and\/or remove the Recruiter from the Website, adopting any technical measures necessary for this purpose.<\/p><h3 id=\"generalidades\" class=\"\">7. General provisions<\/h3><p data-start=\"10962\" data-end=\"11182\">The relationship between Boomerang Intelligence and the Recruiter is one of intermediation and therefore strictly commercial. Consequently, no agency, joint venture, or employment relationship arises between the parties.<\/p><p data-start=\"11184\" data-end=\"11464\">The Conditions of Collaboration constitute the only valid agreement between the parties in relation to the subject matter hereof and supersede any other contracts or agreements previously entered into by the parties in relation to the same subject matter, whether oral or written.<\/p><p data-start=\"11466\" data-end=\"11899\">If any provision of the Conditions of Collaboration is declared, in whole or in part, null or ineffective, such nullity or ineffectiveness shall affect only that provision or the part thereof that is null or ineffective, and the Conditions of Collaboration shall otherwise remain in full force and effect, subject to the non-application of the affected provision, unless it is essential to the Conditions of Collaboration as a whole.<\/p><h3 id=\"ley-jurisdiccion\" class=\"\">8. Applicable law and Jurisdiction<\/h3><p data-start=\"11945\" data-end=\"12044\">The General Conditions shall be governed by and construed in accordance with the <strong data-start=\"12026\" data-end=\"12043\">laws of Spain<\/strong>.<\/p><p data-start=\"12046\" data-end=\"12275\">For any discrepancy that may arise and is not resolved amicably, Boomerang Intelligence and the Recruiter, expressly waiving any other jurisdiction that may correspond to them, submit to the <strong data-start=\"12237\" data-end=\"12274\">Courts and Tribunals of Barcelona<\/strong>.<\/p><h2 class=\"\">Particular Conditions<\/h2><h3 class=\"\">Employers-Recruiters<\/h3><h3 id=\"seleccion-candidatos\" class=\"\">1. Candidate Selection<\/h3><p data-start=\"12364\" data-end=\"12497\">These <strong data-start=\"12370\" data-end=\"12393\">Specific Conditions<\/strong> set out the terms and conditions of the collaboration between Boomerang Intelligence and the Recruiter.<\/p><p data-start=\"12499\" data-end=\"12752\">The terms and definitions included in the Specific Conditions shall have the same meaning as in the General Conditions. In the event of contradiction between the provisions of the General Conditions and the Specific Conditions, the latter shall prevail.<\/p><h3 id=\"honorarios\" class=\"\">2. Recruiter Services<\/h3><p data-start=\"12785\" data-end=\"13178\">Once the Recruiter is proposed by Boomerang Intelligence for a specific selection process, and the Recruiter accepts the assignment within a maximum of <strong data-start=\"12937\" data-end=\"12964\">three (3) calendar days<\/strong> of receiving notification from Boomerang Intelligence, the Recruiter undertakes to provide the Employer with the <strong data-start=\"13078\" data-end=\"13101\">Candidate Selection<\/strong> service (the \u201c<strong data-start=\"13116\" data-end=\"13130\">Candidates<\/strong>\u201d) in accordance with these Specific Conditions.<\/p><p data-start=\"13180\" data-end=\"13255\">By accepting the assignment, the Recruiter warrants to the Employer that:<\/p><ul data-start=\"13256\" data-end=\"13524\"><li data-start=\"13256\" data-end=\"13405\"><p data-start=\"13258\" data-end=\"13405\">the Services provided to the Employer will not infringe any applicable laws or third-party rights, including those of Boomerang Intelligence; and<\/p><\/li><li data-start=\"13406\" data-end=\"13524\"><p data-start=\"13408\" data-end=\"13524\">the Recruiter has the capacity, experience, and the necessary authorizations and\/or permits to perform the Services.<\/p><\/li><\/ul><h3 id=\"garantias\" class=\"\">3. Fees<\/h3><p data-start=\"13543\" data-end=\"13705\">In consideration for the Recruiter\u2019s services under the collaboration, Boomerang Intelligence shall pay the amount established for each new collaboration process.<\/p><h3 id=\"propiedad\" class=\"\">4. Expenses<\/h3><p data-start=\"13728\" data-end=\"14009\">If the Recruiter must incur certain expenses for the proper provision of the Services to the Employer (such as travel and subsistence), the Recruiter must notify Boomerang Intelligence in writing so it can consult with the Employer and obtain the Employer\u2019s prior written approval.<\/p><h3 id=\"limites\" class=\"\">5. Guarantees<\/h3><p data-start=\"14034\" data-end=\"14444\">Once the Candidate has entered into a contract with the Employer, if the Employer terminates the contract, <strong data-start=\"14141\" data-end=\"14168\">dismisses the Candidate<\/strong>, or the Candidate <strong data-start=\"14187\" data-end=\"14210\">voluntarily resigns<\/strong> within the first <strong data-start=\"14228\" data-end=\"14248\">three (3) months<\/strong> (counting from the start of the Candidate\u2019s professional activity in the Employer\u2019s organization), the Recruiter will carry out a new candidate selection for the same Employer <strong data-start=\"14425\" data-end=\"14443\">free of charge<\/strong>.<\/p><p data-start=\"14446\" data-end=\"14611\">The guarantees shall apply <strong data-start=\"14473\" data-end=\"14493\">once per process<\/strong>, and only provided that termination of the Candidate\u2019s contract is not based on a breach of contract by the Employer.<\/p><h3 id=\"extincion\" class=\"\">6. Ownership<\/h3><p data-start=\"14635\" data-end=\"15025\">A Candidate who is part of a selection process carried out by Boomerang Intelligence shall be considered <strong data-start=\"14740\" data-end=\"14759\">the Recruiter\u2019s<\/strong> ownership for a period of <strong data-start=\"14786\" data-end=\"14803\">two (2) years<\/strong> from validation. Therefore, if the Candidate is recruited by the Employer (or any company in the same group), the <strong data-start=\"14918\" data-end=\"14926\">Rate<\/strong> established in the selection process for which the CV was submitted by the Recruiter shall accrue.<\/p><h3 id=\"recruiters-confidencialidad\" class=\"\">7. Limits<\/h3><p data-start=\"15046\" data-end=\"15246\">The Recruiter may not propose as a Candidate any employee of the same Employer within the time limits set out in the <strong data-start=\"15163\" data-end=\"15177\">Guarantees<\/strong> section (from the date of completion of the last selection process).<\/p><p data-start=\"15248\" data-end=\"15501\">Furthermore, once a Candidate has been hired by an Employer, they may not be included by Boomerang Intelligence in any other Employer\u2019s selection process for a period of <strong data-start=\"15418\" data-end=\"15434\">one (1) year<\/strong> after being hired and while they remain employed by that Employer.<\/p><h3 id=\"recruiters-proteccion-datos\" class=\"\">8. Termination<\/h3><p>These Specific Conditions shall terminate in the following cases:<br data-start=\"15592\" data-end=\"15595\" \/>(i) by express agreement of both parties;<br data-start=\"15636\" data-end=\"15639\" \/>(ii) for breach of obligations under the Specific Conditions; and<br data-start=\"15704\" data-end=\"15707\" \/>(iii) by unilateral termination by either party, provided that <strong data-start=\"15770\" data-end=\"15821\">thirty (30) calendar days\u2019 prior written notice<\/strong> is given.<\/p><h3 id=\"recruiters-generalidades\" class=\"\">9. Confidentiality<\/h3><p data-start=\"15861\" data-end=\"16150\">Both parties undertake to keep the other party\u2019s Confidential Information strictly confidential. For these purposes, \u201cConfidential Information\u201d means any technical, commercial, financial, or business information to which a party has access in connection with the provision of the Services.<\/p><p data-start=\"16152\" data-end=\"16512\">Accordingly, the parties shall maintain the secrecy and confidentiality of all Confidential Information and shall not, at any time, sell, transfer, and\/or disclose such Confidential Information, in whole or in part, to any third party, nor use it for any purpose other than that for which it was disclosed, without the prior written consent of the other party.<\/p><p data-start=\"16514\" data-end=\"16783\">The obligation of confidentiality shall be of <strong data-start=\"16560\" data-end=\"16583\">indefinite duration<\/strong> and shall remain in force after the termination, for any reason, of the relationship between the parties, and shall be binding on the relevant employees and collaborators, both external and internal.<\/p><p data-start=\"16785\" data-end=\"17106\">The obligation of confidentiality regulated in this clause does not apply to (i) information which, at the time of disclosure, is already in the public domain; and (ii) information which, having been disclosed by one party, enters the public domain through publication or otherwise, <strong data-start=\"17068\" data-end=\"17086\">without breach<\/strong> by the other party.<\/p><h3 id=\"recruiters-ley-jurisdiccion\" class=\"\">10. Protection of Personal Data<\/h3><p data-start=\"17149\" data-end=\"17669\">The Recruiter and Boomerang Intelligence shall comply with the personal data protection regulations in force (in particular, <strong data-start=\"17274\" data-end=\"17291\">GDPR 679\/2016<\/strong> and <strong data-start=\"17296\" data-end=\"17314\">LOPDGDD 3\/2018<\/strong>, and any regulation that develops and\/or replaces them) in relation to the personal data that they process and\/or provide to the other party and, in particular, in relation to the personal data of the Candidates that Boomerang Intelligence provides to the Recruiter; in this regard, Boomerang Intelligence warrants compliance with applicable obligations.<\/p><h3 id=\"recruiters-11\" class=\"\">11. General provisions<\/h3><p data-start=\"17703\" data-end=\"17927\">The relationship between the Recruiter and Boomerang Intelligence is one of provision of services and, therefore, strictly commercial. Consequently, there is no agency, joint venture, or employment relationship between them.<\/p><p data-start=\"17929\" data-end=\"18154\">If the Recruiter and Boomerang Intelligence wish to modify any aspect of the Specific Conditions, this must be agreed through the corresponding <strong data-start=\"18073\" data-end=\"18085\">Appendix<\/strong>, and notified by email to Boomerang Intelligence for prior approval.<\/p><h3 id=\"recruiters-12\" class=\"\">12.
